1. General Provisions

1.1. This public agreement (offer), posted on the website https://zibinati.com is an official offer of the ZIBINATI Couturier online store to conclude a purchase and sale agreement with any individual on the terms and conditions set forth in this document.

1.2. The agreement applies to the sale of goods, including products made to individual measurements, as well as the provision of related services, including cooperation with partners - dropshippers and wholesale buyers.

1.3. The buyer independently selects goods or services through the website interface, places an order using the "Buy" button and confirms it in the "Shopping Cart" section. It is also possible to order through the official pages of the online store on social networks: Instagram, Facebook, Telegram, Viber.

1.4. Payment and delivery are carried out under the terms and conditions set out in this agreement.

1.5. According to Articles 633, 641 and 642 of the Civil Code of Ukraine, this agreement is public, open and equivalent to an agreement concluded in writing. It is intended for all individuals temporarily or permanently residing in Ukraine, who have full legal capacity and legal capacity and are aware of the legal significance of their actions.

1.6. The buyer has no right to offer their own terms of the agreement. By placing an order and confirming their agreement with this offer, they accept all the terms, including the procedure for processing, payment and delivery of goods.

1.7. The buyer understands and agrees that the color of the goods in the images may differ slightly from the actual shade due to screen settings, lighting during shooting and other technical factors.

1.8. In addition, the fabric supplied by the manufacturer may have slight differences in shade even if the same article number and product code are maintained. This is due to the peculiarities of textile production, dyeing and differences between delivery lots.

1.9. The seller strives to ensure the most accurate color rendering and informs the buyer of possible differences in advance if such information is available, but cannot guarantee complete compliance with previous batches of goods.

1.10. The online store https://zibinati.com is owned and operated by an individual entrepreneur Natalia Ivanovna Zybina, registered under identification number 2449416844, registered at the address: 65080 Odessa, Lyustdorfskaya Doroha Street 27.

1.11. The  ZIBINATI Couturier  brand located at https://zibinati.com belongs to NP Zybina Natalia Ivanovna.

1.12. The range of goods posted on the website is the property of sole proprietor Natalia Ivanovna Zybina and is offered for sale within the framework of her entrepreneurial activity.

1.13. The online store provides the opportunity for wholesale purchases. The terms of wholesale cooperation are agreed upon individually with the seller.


2. Buyer category

2.1. The ZIBINATI Couturier online store sells goods exclusively to individuals, individual entrepreneurs (IE) who permanently or temporarily reside in Ukraine, have full civil capacity, and are aware of the significance of their actions and the possible consequences of placing an order.

2.2. For each order, the ZIBINATI Couturier online store can provide a payment document in accordance with the current legislation of Ukraine.

2.2.1. The cash receipt can be provided in paper or electronic form, depending on the technical capabilities of the seller and the selected method of delivery or payment.

2.2.2. Consignment note (CTN), confirming the dispatch of the order through the delivery service. 2.2.3. Notification of the order status via instant messengers: Viber, Telegram, Facebook, Instagram, SMS and email.

2.3. At the moment, the fulfillment of individual orders and the sale of goods is carried out exclusively for individuals.

2.4. Placing orders within the framework of dropshipping is allowed provided that the buyer acts as an individual and does not require the execution of contractual relations.

2.5. Cooperation and conclusion of contracts with legal entities and other business entities is temporarily not carried out due to the peculiarities of the current taxation system.

2.6. The ZIBINATI Couturier online store reserves the right to refuse to process an order or delete an order if it is established that the buyer acts on behalf of a legal entity or uses the site for purposes not provided for in this public agreement.


3. Conclusion of the Agreement

3.1. This Agreement is considered concluded from the moment the buyer confirms his/her consent to the terms of this public offer when placing an order on the official website https://zibinati.com

3.1.1. Orders placed through third-party communication channels (messengers, telephone) are considered preliminary and do not guarantee the possibility of returning or exchanging the goods under the terms of this offer, unless otherwise additionally agreed with the seller in writing through official channels (e-mail or messenger, with confirmation of correspondence).

3.2. In accordance with Article 9 of the Law of Ukraine "On Protection of Consumer Rights", the buyer has the right to exchange or return a non-food product of proper quality within 14 calendar days from the date of receipt of the goods, subject to the placement and confirmation of the order on the official website https://zibinati.com

3.2.1. Returns are only possible if the product has not been used, its presentation, packaging, and labels are preserved, and there is a payment document (receipt, consignment note, or other proof of payment) certifying the purchase.

3.2.2. Returns or exchanges of products purchased through other communication channels are not accepted.

3.3. Returns or exchanges are not accepted if signs of product use, damage, foreign odors, traces of washing, missing packaging or labels are detected, as well as in the event of non-compliance with other conditions listed in paragraph 3.2.

3.4. In some cases, when placing a pre-order through official messengers or by phone, individual conditions for return or exchange are possible. Such conditions are valid only if there is written confirmation from the seller in the recorded correspondence.


4. Order and payment procedure

4.1. The product is ordered by the buyer independently on the official website https://zibinati.com by adding the product to the basket and filling out the order form with contact information.

4.2. It is also possible to place a preliminary order through official communication channels (messengers, telephone), while the order is placed and confirmed after agreeing on the details with the seller and entering the relevant data into the system.

4.3. After placing the order, the buyer is sent an order confirmation by e-mail, telephone or messenger. The confirmation includes information about the order, sewing/shipping terms, delivery method and payment details.

4.4. Payment is made by the buyer in full based on the details provided. Possible payment methods: transfer to the Monobank bank account; non-cash payment (upon request); cash on delivery (by agreement and with prepayment for sewing). Current payment methods are indicated on the website or agreed upon individually with the seller.

4.5. The production/shipping period for the goods is counted from the moment of confirmation of payment and all order details.


5. Rights and obligations of the parties

5.1. The seller undertakes to:

5.1.1. Process the order placed by the buyer through the official website https://zibinati.com within a reasonable time.

5.1.2. Provide reliable information about the product: description, composition, care features.

5.1.3. Transfer to the buyer a product of proper quality, corresponding to the description.

5.1.4. Comply with the terms of this offer and the current legislation of Ukraine.

5.1.5. Guarantee the confidentiality of the buyer's personal data.

5.2. The buyer undertakes to:

5.2.1. Provide true and up-to-date contact information when placing an order.

5.2.2. Pay for the ordered product in full in accordance with the payment terms.

5.2.3. Read the terms of this offer before placing an order.

5.2.4. Check the appearance and completeness of the goods upon receipt.

5.2.5. Follow the rules for caring for the goods, indicated on the labels and in the description.

5.3. The seller has the right to:

5.3.1. Refuse to process the order in the event of incorrect information or lack of confirmation from the buyer.

5.3.2. The seller is not liable for failure to fulfill obligations due to force majeure circumstances, including (but not limited to): natural disasters, military actions, emergencies, interruptions in the operation of delivery services, power outages, communications or technical failures on the part of third parties.

5.3.3. Amend the terms of this offer by publishing an updated version on the website.

5.4. The buyer has the right to:

5.4.1. Receive reliable information about the goods, terms of purchase, payment and delivery.

5.4.2. Place orders through the website or in another agreed manner.

5.4.3. Receive the goods of proper quality on time, according to the delivery terms.

5.4.4. Contact the Seller for advice on the characteristics of the goods, selection of sizes, care.

5.4.5. Request a refund or exchange of goods in the manner established by this offer.

5.4.6. Send questions, suggestions and comments to the Seller regarding the goods and service.

5.5. The Buyer undertakes to:

5.5.1. Specify accurate and up-to-date contact information when placing an order.

5.5.2. Pay for the ordered goods in full according to the payment terms.

5.5.3. Accept the order within the agreed time frame.

5.5.4. Check the appearance and completeness of the goods upon receipt.

5.5.5. Follow the rules for caring for the goods specified in the description and on the labels.

5.5.6. Maintain the product's presentation, packaging and markings until a decision is made to return it.

5.5.7. Do not use the product until a final decision is made to return it.

5.5.8. Do not violate the terms of this offer.


6. Procedure for returning and exchanging goods

6.1. Return or exchange of goods is possible provided that the order was placed through the official website https://zibinati.com or confirmed by the Seller when placing it through other communication channels (messengers, telephone) indicating all the terms of purchase and payment. Such orders are also subject to the terms of this public offer.

6.2. Return or exchange of goods of proper quality is possible within 14 calendar days from the date of receipt of the goods, in accordance with Article 9 of the Law of Ukraine "On Protection of Consumer Rights".

6.3. Return or exchange is carried out subject to the following conditions:

6.3.1. The goods have not been used, their presentation and packaging have been preserved;

6.3.2. All labels, seals and factory markings have been preserved;

6.3.3. A document confirming the purchase (electronic receipt, invoice, etc.) has been provided.

6.4. The return or exchange of goods is made after the Seller receives it and visually inspects its condition. If signs of use are detected - such as traces of washing, foreign odors, damage, dirt, missing labels or packaging - the Seller has the right to refuse the return or exchange.

6.5. In case of refusal to return for the reasons specified in paragraph

6.4, the goods will be returned to the Buyer at his expense with an indication of the reasons for the refusal.

6.6. The cost of delivery when returning the goods is paid by the Buyer, except for cases when the reason for the return is the Seller's error or the receipt of goods of inadequate quality.


7. Liability of the Parties

7.1. The Seller shall not be liable for:

7.1.1. The Buyer's incorrect choice of size, style or colour of the product, provided that the product matches the description on the website;

7.1.2. Indirect damages, including lost profits;

7.1.3. Failures in the operation of the website or delivery services, if they did not occur due to the fault of the Seller.

7.2. The Seller shall not be liable for delays or interruptions in the operation of the online store caused by technical faults, actions of third parties, interruptions in the Internet or hosting, if they are not related to its direct actions.

7.3. The Seller is not liable for losses incurred due to the fault of the Buyer, including:

7.3.1. Errors in the data specified when placing an order;

7.3.2. Violation of the storage or operating conditions of the product;

7.3.3. Failure to comply with the terms of this Offer.

7.4. The Buyer is responsible for the accuracy of the information specified when placing the order and the consequences arising from its inaccuracy.

7.5. In the event of a breach by the Buyer of the terms of this Offer, the Seller has the right to refuse to fulfill its obligations, including fulfilling the order and/or refunding the money.

7.6. All disputes and disagreements arising in the context of the execution of this Offer shall be resolved through negotiations. If it is impossible to reach an agreement, the dispute shall be considered in accordance with the procedure established by the current legislation of Ukraine.


8. Processing and protection of personal data

8.1. When placing an order, the Buyer provides the Seller with their personal data: last name, first name, patronymic, delivery address, contact phone number, e-mail, as well as data required to prepare payment documents and confirm payment (for example, a receipt). This information is used exclusively for order fulfillment, delivery, communication with the Buyer and accounting.

8.2. The processing and storage of personal data is carried out in accordance with the Law of Ukraine "On the Protection of Personal Data" No. 2297-VI dated 01.06.2010 and other applicable regulations, including the Law of Ukraine "On Electronic Commerce".

8.3. The Seller takes the necessary technical and organizational measures to protect personal data from unauthorized access, modification, loss, destruction or illegal distribution.

8.4. Personal data is transferred to third parties (e.g. delivery services, banks, payment systems) only to the extent necessary to fulfill the order and in accordance with legal requirements.

8.5. The Seller may use technical information (including IP address, cookies) to analyze the website’s operation and improve the user experience. No automated decision-making based on personal data (including profiling) is performed.

8.6. Personal data is stored for the period necessary to fulfill the order and subsequently comply with legal requirements, including accounting and tax standards (at least 3 years).

8.7. The Buyer has the rights stipulated by the Law of Ukraine “On the Protection of Personal Data”, including:

8.7.1. Request access to their personal data and information on their use;

8.7.2. Demand correction, blocking or deletion of their data;

8.7.3. Revoke consent to the processing of personal data;

8.7.4. Contact authorized bodies or courts in case of violation of your rights.


9. Intellectual property and copyright

9.1. All content posted on the ZIBINATI Couturier online store website at https://zibinati.com, including but not limited to: product photographs, descriptions, texts, logos, design elements, graphics and interface, is subject to copyright and/or related rights and is protected in accordance with the current legislation of Ukraine, including the Law of Ukraine "On Copyright and Related Rights".

9.2. The copyright holder of the above content is the Seller - the owner and administrator of the online store located at https://zibinati.com, unless otherwise expressly stated. This protection applies to all types of materials posted on the website.

9.3. The Visitor (Buyer) undertakes not to reproduce, copy, publish, distribute, transfer to third parties or use for commercial purposes the materials of the site without the prior written consent of the copyright holder.

9.4. Use of the site materials is permitted only with the permission of the Seller and with the obligatory indication of the source, as well as in compliance with the requirements of the current legislation of Ukraine.

9.5. Illegal use of content may entail liability in accordance with the legislation of Ukraine, including civil, administrative and criminal liability. 9.6. In the event of detection of a violation of rights to content, the site administration reserves the right to take the necessary protective measures, including contacting legal consultants, the hosting provider, and, if necessary, law enforcement and judicial authorities.


10. Limitation of Liability. Technical Features of the Website and Force Majeure

10.1. The Seller shall make all reasonable efforts to ensure stable and uninterrupted operation of the Website. However, it shall not be liable for temporary failures and interruptions in operation caused by technical reasons (including updates, server crashes, hosting failures, communication failures, etc.), as well as for the actions of third parties or force majeure.

10.2. The Seller shall not be liable for the inability to fulfill obligations to the Buyer if such inability is caused by force majeure, including, but not limited to: natural disasters, military actions, blocking of Internet resources, epidemics, failures in the operation of payment systems and delivery services, changes in legislation or prohibitions by government agencies.

10.3. In the event of force majeure, the deadlines for fulfilling obligations may be postponed for the period of their validity. If fulfillment of obligations becomes impossible at all, the parties are released from further fulfillment without penalties. In such a case, funds not used for their intended purpose may be refunded, if technically possible.

10.4. The Seller shall not be liable for losses incurred by the Buyer as a result of using the website (including loss of data, information or profit), unless such losses are directly attributable to the Seller.

10.5. The Seller shall not be liable for the inability to fulfill an order that occurs due to Internet connection failures, malfunctions of the Buyer's equipment or software, or errors in delivery services.

10.6. In the event that technical errors are detected in the product description, price or specifications, the Seller reserves the right to suspend the order until the information is clarified with the Buyer. If it is not possible to contact the Buyer, the order may be cancelled with subsequent notification by phone, messenger or e-mail.

10.7. The Buyer agrees that the visual elements of the site (photos, videos, etc.) may differ slightly from the actual appearance of the product depending on the screen settings, lighting and other technical factors.

10.8. All issues not regulated in this section are resolved individually, taking into account the current legislation of Ukraine and the principles of good faith of the parties.


11. Terms of cooperation for partners, dropshippers and wholesale buyers

11.1. The seller provides the opportunity to cooperate on the dropshipping model, as well as wholesale purchases for individual entrepreneurs and owners of online stores. The terms and format of interaction are discussed individually and may include providing a price list with wholesale or partner prices.

11.2. To begin cooperation on the dropshipping model, a potential partner is obliged to confirm their status by providing reliable information about the site where they plan to place the goods (online store, marketplace, business page on social networks, etc.). The seller has the right to request links or additional information. In the absence of reliable data, the seller reserves the right to refuse cooperation.

11.3. A dropshipping partner or wholesale buyer undertakes to provide up-to-date and reliable information about the order, including correct data for shipment, selected products, sizes, colors and contact information of the recipient.

11.4. In case of a custom order (tailoring according to individual measurements, non-standard sizes or taking into account the unique wishes of the client), the cost may differ from the price list. The final price is formed individually taking into account the complexity of the work, material consumption, additional costs and production times.

11.5. All obligations for return, exchange, warranty service and informing the end customer lie with the partner, however, the seller undertakes to provide the partner with comprehensive support and assistance in resolving disputes and conflicts related to the quality of the goods or other issues related to the activities of the seller. In the event of disputes, the seller and the partner undertake to cooperate jointly for their prompt and mutually beneficial settlement.

11.6. The seller reserves the right to suspend or terminate cooperation with the partner in the event of a violation of the terms of payment, provision of false information or the occurrence of conflict situations that are not resolved in the working order.

11.7. All partnerships are governed by this offer and the legislation of Ukraine. The parties undertake to resolve disputes and disagreements through negotiations, and if this is impossible, in accordance with the procedure established by law.

11.8. The seller works only through the direct sales system. Goods are not transferred for sale and are not accepted back if they have not been sold. All goods transferred to a dropshipping partner or wholesale buyer are considered purchased and are not subject to return, exchange or refund, except for cases expressly provided for in this offer and agreed upon in writing. The partner is responsible for the sale of the received goods.


12. Responsibility of the Parties The Parties are responsible for the proper fulfillment of the terms of this offer in accordance with the current legislation of Ukraine. Each of the Parties undertakes to faithfully fulfill the obligations assumed and be responsible for their violation.


13. Changes to the terms of the offer

13.1. The Seller reserves the right to change and supplement the terms of this offer in order to improve the service or update the information.

13.2. All changes are published on the website and come into force from the moment of their posting, unless otherwise specified. The current version of the offer is always available for review at the bottom of the website, in the section PUBLIC OFFER.
